Reseller Terms of Service

1. Reseller Agreement

These Reseller Terms of Service ("Agreement") establish the terms and conditions under which authorized resellers, distributors, and merchants ("Reseller") may offer CRYPTD.TO cryptocurrency vouchers and related services to end-users ("Customers"). This Agreement is binding upon execution and applies to all reseller relationships with CRYPTD.TO ("Company").

2. Reseller Obligations and Compliance

Resellers acknowledge and agree to:

• Maintain full compliance with all applicable local, state, and international laws regarding cryptocurrency and financial services
• Implement comprehensive AML/KYC procedures for all end-users and customers
• Maintain accurate records of all transactions for a minimum of five (5) years
• Report suspicious activity to the Company and relevant regulatory authorities
• Not engage in price manipulation, fraudulent representation, or misrepresentation of services
• Maintain professional standards and not engage in conduct that reflects negatively on the Company

3. Compensation and Fees

The Company shall compensate Resellers according to the compensation schedule agreed upon in writing. All compensation is contingent upon compliance with this Agreement. The Company reserves the right to modify compensation arrangements with sixty (60) days written notice.

4. Prohibited Activities for Resellers

Resellers explicitly agree NOT to:

• Engage in unlicensed money transmission or financial services
• Facilitate transactions with sanctioned individuals, entities, or jurisdictions
• Engage in market manipulation, price fixing, or collusive behavior
• Misrepresent the Company's services or make guarantees of returns
• Operate outside authorized territories or customer segments
• Sublicense or transfer reseller rights without written authorization

5. Audit and Inspection Rights

The Company reserves the right to conduct audits, inspections, and examinations of Reseller operations, records, and compliance procedures at any time, with or without notice. Resellers agree to cooperate fully and provide all requested documentation.

6. Indemnification by Reseller

Reseller agrees to indemnify and hold harmless the Company from any and all claims, damages, or liabilities arising from Reseller's violation of law, violation of this Agreement, or Reseller's dealings with end-users.

7. Termination of Reseller Status

The Company may terminate this Agreement and Reseller status immediately upon discovery of non-compliance, illegal activity, or violations of this Agreement. Termination is effective upon written notice or suspension of access.

8. Governing Law

This Agreement shall be governed by the laws of the Republic of Seychelles, and all disputes shall be subject to the exclusive jurisdiction of Seychellois courts.
